Terms of Service

1. Acceptance of these terms

These Terms of Service (the "Terms") govern your access to and use of the Jalees website and application (the "Service"), operated by Jalees ("we", "us"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who can use the Service

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to create an account. By creating an account you confirm that you can form a binding contract with us and are not barred from using the Service under any applicable law.

3. Your account

You are responsible for everything that happens under your account. Keep your password confidential, use a unique password, and notify us promptly if you believe your account has been compromised. You can delete your account at any time from account settings; deletion is described in section 9 of these Terms and section 7 of our Privacy Policy.

4. Subscriptions, fees, and refunds

The Service is offered on a freemium model. The free tier has a per-period quota; paid tiers raise that quota. Paid subscriptions are billed in advance by Stripe at the price displayed at checkout, in the currency and on the cycle (monthly or annual) you select.

Renewal. Paid plans renew automatically at the end of each billing period using your saved payment method, until you cancel. You may cancel at any time from the customer portal; cancellation takes effect at the end of the current period and you keep access until then.

Trials. Where we offer a free trial of a paid tier, the trial converts to a paid subscription at the end of the trial window unless you cancel before then. Each user is eligible for one trial across all upper tiers.

Price changes. We may change prices with at least 30 days' notice. New prices apply to your next renewal after the notice period; you can cancel before then to avoid the new price.

Refunds. Except where required by law (including the EU/UK 14-day withdrawal right for consumers, where applicable), fees are non-refundable.

Taxes. Prices may be shown exclusive of VAT, GST, or other applicable taxes; we will add taxes at checkout where required.

5. Acceptable use

When you use the Service, you agree not to:

• upload content you do not have the right to upload, or that infringes someone else's intellectual-property or privacy rights;
• upload illegal content, child-sexual-abuse material, or content that promotes terrorism or violence;
• use the Service to harass, defame, or threaten anyone;
• attempt to bypass quota mechanisms, rate limits, or authentication;
• scrape, automate, or otherwise interact with the Service in ways not provided by our official interfaces;
• probe, scan, or test the security of the Service except in line with a written responsible-disclosure agreement;
• reverse-engineer the model integration or attempt to extract upstream provider keys or prompts; or
• resell the Service or use it to provide a substantially similar competing service.

We may suspend or terminate accounts that violate this section.

6. Your content

You retain ownership of the files you upload and the chat messages you send ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, OCR, display, and otherwise process Your Content solely for the purpose of providing and improving the Service to you. We do not use Your Content to train any machine-learning model.

You represent and warrant that you have the rights necessary to grant the licence above and that Your Content does not violate these Terms or any applicable law.

7. AI-generated output

Jalees uses large language models to generate responses. AI output can be inaccurate, incomplete, biased, or misleading. You are responsible for verifying any output before relying on it. Do not use Jalees as a substitute for professional advice (medical, legal, financial, or otherwise) or for any safety-critical decision.

Subject to applicable law and to the rights of the underlying model providers, we do not claim ownership of output generated for you in response to Your Content. You are responsible for ensuring your use of any output complies with applicable law and with third-party rights.

8. Our intellectual property

The Service, including its software, design, logos, and content (other than Your Content), is owned by us or our licensors and is protected by intellectual-property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service in accordance with these Terms. We reserve all rights not expressly granted.

9. Termination

You can stop using the Service at any time and delete your account from account settings. We may suspend or terminate your account, with or without notice, if you violate these Terms, if we reasonably suspect fraud or abuse, or if we are required to do so by law.

On termination, your right to use the Service ends. Any provisions that by their nature should survive termination (including sections 6, 8, 10, 11, 12, and 13) will survive.

10. Third-party services

The Service depends on third-party providers (including Google for AI inference and authentication, Stripe for billing, and the providers listed in our Privacy Policy). Their availability, terms, and pricing can change; we are not responsible for third-party services and your use of them is governed by their own terms.

11. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI output will be accurate.

Nothing in these Terms excludes or limits any statutory rights that cannot lawfully be excluded or limited.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Service. Our aggregate liability for all claims arising out of or related to the Service in any 12-month period will not exceed the greater of (a) the fees you paid us in that period, or (b) USD 100.

Where you are a consumer in a jurisdiction that does not allow these limits, the limitations above apply only to the extent permitted by applicable law.

13. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold us harmless from any claim, demand, or expense (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service in breach of these Terms, or (c) your violation of any applicable law or third-party right.

14. Governing law and disputes

These Terms and any dispute arising out of or in connection with them are governed by the laws of [governing jurisdiction to be confirmed]. Subject to mandatory local rights (in particular, those of EU and UK consumers to sue in their place of residence), disputes will be brought exclusively in the courts of that jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the effective date above and, for material changes, give you reasonable advance notice (by email or in-app banner). Continued use of the Service after the changes take effect means you accept the updated Terms.
